PROPRIETARY FONT AND SUPPLIED ASSET LICENSE Version 1.0 – 1 September 2026

Copyright © 2026 Dennis Slotta Licensor: Dennis Slotta, Legatenstieg 15, 37603 Holzminden, Germany All rights reserved except for the rights expressly granted by this license.

This license applies to the proprietary font files and any supplied SVG glyphs, lettering assets or related static font assets identified as part of the purchased product (collectively, the “Licensed Assets”).

If the product also provides access to ColrStudio, use of ColrStudio is governed by the separate ColrStudio license supplied with the product. This license does not apply to fonts expressly distributed under the SIL Open Font License or any other identified third-party license.

By downloading, installing or using the Licensed Assets, the licensee agrees to this license.

1. LICENSEE AND LICENSE GRANT

The “licensee” is the natural person or legal entity that purchased the product. The licensee receives a perpetual, non-exclusive and non-transferable Commercial License to use the Licensed Assets for personal and commercial purposes, subject to the revenue limit and restrictions below.

If the licensee is a natural person, that person may install and use the Licensed Assets on any devices owned or primarily used by that person, including for a sole proprietorship operated by that person.

If the licensee is a company or other legal entity, all owners, officers and employees of that legal entity may install and use the Licensed Assets on devices used for the licensee’s business. Use must be for and on behalf of the licensee.

Trade names and brands owned and operated by the licensee are included. A brand does not become a separate licensee merely because it uses a different public or commercial name.

Parent companies, subsidiaries, sister companies and other legally independent entities are not covered, even where they belong to the same corporate group or share owners, management, staff or branding. External agencies, freelancers, contractors and service providers are not employees and require their own license if they install or use the Licensed Assets.

The license is not a subscription. No royalty or revenue share is payable for permitted end products while the requirements of this license are met.

2. REVENUE LIMIT AND REQUIRED UPGRADE

This Commercial License covers a licensee whose total worldwide gross business revenue does not exceed USD 250,000 in a financial year.

The revenue calculation includes revenue from all business activities of the licensee and all brands owned and operated by the licensee. It is not limited to revenue earned using the Licensed Assets. Revenue is calculated before business expenses, but excludes value added tax, sales tax, refunds and chargebacks.

Revenue of a legally independent parent company, subsidiary or sister company is not included in the calculation because that entity is not permitted to use this license and requires its own license.

For revenue received in another currency, the USD equivalent is determined using the European Central Bank reference rate or, where no such rate is available, a comparable official reference rate applicable when the threshold is exceeded.

If the licensee’s cumulative gross revenue exceeds USD 250,000 during a financial year, the licensee has 30 calendar days from the date the threshold is exceeded to obtain an Extended Commercial License from the licensor.

Use may continue during this 30-day upgrade period. If no required upgrade is obtained within that period, the licensee must stop further installation, use, production, publication and commercial distribution involving the Licensed Assets until the appropriate license has been obtained. Finished products lawfully delivered to customers before the end of the upgrade period remain unaffected.

3. PERMITTED USE

The Licensed Assets may be used to create personal and commercial end products, including:

  • •logos, names, lettering and branding;
  • •advertisements, websites and social media graphics;
  • •videos and animations;
  • •signs, plotter and cutting projects;
  • •printed products and physical merchandise;
  • •packaging and product decoration;
  • •client work;
  • •finished digital designs; and
  • •other composed creative works.

An end product must be a finished design in which the characters form part of a composition. It must not provide the recipient with the font software or with a reusable collection of individual characters.

The licensee may offer personalized products and customization services. An end customer may enter a name, phrase or other text that is rendered with the font by the licensee’s website, application, production system or staff, provided that the end customer receives only a finished physical or digital product.

Personalization may be performed manually or automatically. It must not provide the end customer with the font file, general-purpose access to the font, or a reusable collection of individual letters, numbers, glyphs or characters.

4. CLIENT WORK

The licensee may create finished designs for clients. Finished artwork may be supplied as printed output or as flattened, outlined or otherwise non-font digital output.

The font files may not be supplied to a client. A client requires their own valid license if they need to install or use the font, edit live text using the font, use the font as a webfont, or create additional designs with it.

5. WEBFONT USE

The licensee may embed the font as a webfont on websites owned, operated and controlled by the licensee. This permission covers the licensee’s own websites and brands and is not limited by domain count or website traffic unless the applicable product description expressly states otherwise.

The font may be converted or subset only to the extent technically necessary for this permitted webfont use. Any resulting files remain Licensed Assets and remain subject to this license.

The licensee must not make the webfont files available as separate downloads or use the website primarily as a means of distributing the font. Ordinary technical delivery to a visitor’s browser and normal browser caching do not constitute prohibited redistribution.

A website created or maintained for a client is not considered the licensee’s own website merely because the licensee designed, hosts or administers it. The client or website owner must obtain their own valid font license before the font is used on that website.

6. DOCUMENTS, APPLICATIONS, GAMES AND SOFTWARE

The font may be embedded in static PDF documents and comparable finished digital documents where the purpose is to display or print a completed design and not to provide the recipient with a reusable font or editable design template.

Where reasonably available, embedding settings that prevent editing or font extraction should be used.

Within the revenue limit in Section 2, the licensee may also embed the font in mobile applications, desktop applications, games, software, electronic publications, devices and software-as-a-service products owned and published by the licensee.

The embedded font may be used for user interfaces, displayed content, branding and other functionality of the licensed product. The font must be technically integrated in a manner appropriate to the product and must not be intentionally offered to users as a separate downloadable or installable font file.

This permission applies only to products owned and published by the licensee. If software, an application, a game, device or online service is created for and owned or published by a client or another legal entity, that client or entity must obtain its own valid font license.

Embedding does not permit an application, service or device to function primarily as a font distribution service, font library, reusable alphabet generator or means of providing unlicensed third parties with general-purpose access to the font.

Embedding the font in editable templates or other reusable digital resources remains subject to Section 9.

7. SUPPLIED SVG, GLYPH AND LETTERING ASSETS

Supplied SVG glyphs, lettering assets and similar static assets may be used in permitted finished personal and commercial designs.

They may not be redistributed, resold, sublicensed or repackaged as reusable digital assets, including:

  • •SVG, PNG, WebP or other alphabet packs;
  • •individual letter or number packs;
  • •glyph or character collections;
  • •clipart alphabets;
  • •monogram or initial libraries;
  • •downloadable character sets; or
  • •substantially similar digital resource products.

A finished word, name, phrase, logo, sign or composed decorative design remains permitted. The determining factor is whether the recipient receives a completed design or reusable individual characters.

8. PROHIBITED USE AND REDISTRIBUTION

The licensee may not:

- sell, share, gift, upload, sublicense or otherwise redistribute the original font files or converted versions of them; - include the font files in another font collection, asset bundle, template, website package, software package or downloadable project; - provide the font files to clients, contractors or other persons not covered by this license; - offer the font through a server, application or online service primarily as a downloadable font, general-purpose font service, reusable alphabet generator or unlicensed font resource, except for embedding expressly permitted by Section 6; - convert, trace, extract or reconstruct the Licensed Assets for the purpose of distributing another font or reusable character asset; - sell, sublicense, publish or otherwise distribute a modified, converted, renamed, subsetted or derivative version of the font; - present the original or a modified font, or substantial parts of it, as font software independently created or owned by the licensee; - use individual glyphs to create products whose primary purpose is to provide reusable alphabet, letter, number or character assets; or - remove or falsify copyright, authorship or license information contained in the supplied files.

The licensee may modify, rename, subset, convert or technically adapt the font for internal use by persons covered by this license and for incorporation into end products expressly permitted by this license. This includes internal glyph adjustments and technical adaptations reasonably required for print, webfont, application, game, software or device use.

All modified, converted, renamed, subsetted and derivative versions remain Licensed Assets and remain subject to this license. They may not be supplied as font software or source assets to clients, contractors or other third parties and may not be sold, sublicensed or distributed as standalone fonts.

The licensor is not required to provide support, updates or compatibility fixes for a version modified or converted by the licensee. Reasonable outlining solely for a use expressly permitted by this license does not by itself violate this section.

9. EDITABLE PRODUCTS AND TEMPLATES

The licensee may create, sell and distribute editable templates, including design, presentation, website and document templates, subject to the following rules.

Text created with the font may be included as rasterized, flattened, fixed or outlined artwork. The remaining layout and other elements of the template may remain editable. Fixed or outlined text must form part of a composed design and must not provide a substantially complete reusable alphabet, glyph or character library.

Live editable text using the font may remain in a template only if:

- the original, converted or embedded font file is not supplied, transferred or made accessible with the template; - the recipient is clearly informed that the font is not included and that a separate valid font license is required to install, access or edit text using the font; and - any recipient who edits or creates live text using the font has obtained their own valid font license.

The licensee may not upload, embed, attach or share the font in a manner that gives an unlicensed template recipient access to it. This includes supplying the font in a downloadable package, embedding it for editable use, or making it available through a shared account, shared brand library, cloud workspace or online service.

A template may use a substitute font until the independently licensed recipient installs or otherwise lawfully accesses the Licensed Assets.

10. ARTIFICIAL INTELLIGENCE AND MODEL TRAINING

The licensee may use artificial-intelligence-assisted design, image-editing, layout, animation and production tools to create end products otherwise permitted by this license.

The Licensed Assets may not be intentionally used or supplied as training, fine-tuning, adaptation, evaluation or reference data for a machine-learning or generative model. This prohibition includes the use of:

- original, converted, subsetted or modified font files; - complete or systematic glyph, alphabet or character sets; - extracted outlines or rendered character collections intended to represent the design of the font; or - datasets created to reproduce, imitate or generate the font or its character designs.

The licensee may not grant an artificial-intelligence provider or another third party the right to include the Licensed Assets or a systematic glyph collection in training data, model-improvement data or a reusable dataset.

This section does not prohibit ordinary AI-assisted processing of finished compositions, logos, images, layouts, videos or other permitted end products where the Licensed Assets are not supplied as a reusable font or systematic character dataset.

11. OWNERSHIP

The Licensed Assets are licensed, not sold. The licensee receives only the rights expressly granted by this license. All copyright and other intellectual property rights in the Licensed Assets remain with the licensor or the identified rights holder.

No trademark rights or rights of ownership in the font name, product name, brand name or ColrStudio are transferred.

12. THIRD-PARTY MATERIAL

This license grants no rights to third-party fonts, images, graphics, trademarks, photographs or other material used together with the Licensed Assets. The licensee is responsible for obtaining all necessary rights for third-party material.

13. FILE FORMATS AND THIRD-PARTY SOFTWARE

Support for font and SVG technologies may differ between operating systems, browsers, font managers, graphics applications, cutting software and other third-party products.

Unless compatibility with a specific third-party product and version is expressly stated in the applicable product description, no compatibility with that product is promised. A statement that a file has been tested or validated in a particular environment describes the test environment and does not guarantee identical rendering, import, editing, printing or production behavior in other applications.

Express statements in the applicable product description and mandatory statutory rights remain unaffected.

14. LICENSE VIOLATIONS AND TERMINATION

If the licensee materially breaches this license, the licensor may require the licensee to stop the breach and remedy it within a reasonable period. If the breach is not remedied within that period, the licensor may terminate the license to the extent permitted by applicable law.

After effective termination, the licensee must stop using and delete all copies of the Licensed Assets under their control. Rights in end products lawfully created and distributed before termination remain unaffected unless mandatory law or a binding decision provides otherwise.

15. LIABILITY

The licensor is liable without limitation:

- in cases of intent or gross negligence; - for injury to life, body or health caused by an intentional or negligent breach of duty; - under mandatory product liability law; and - in all other cases in which liability cannot legally be limited.

In cases of ordinary negligence, the licensor is liable only for the breach of an essential contractual obligation. In such cases, liability is limited to damage that was reasonably foreseeable and typical for this type of contract.

An essential contractual obligation is an obligation whose fulfillment is necessary for the proper performance of the agreement and on whose fulfillment the licensee may reasonably rely.

Subject to the preceding provisions, the licensor is not responsible for damage caused solely by unsupported hardware or software, differing implementation by third-party applications, modification or conversion by third-party software, errors in material supplied by the licensee, or production use without reasonable verification of the result.

16. MANDATORY RIGHTS

Nothing in this license excludes, limits or replaces statutory rights, remedies, warranties or consumer-protection provisions that cannot legally be excluded or limited.

17. GOVERNING LAW

Unless mandatory law provides otherwise, this license is governed by the laws of the Federal Republic of Germany.

If the licensee is a consumer, mandatory consumer-protection provisions applicable at the consumer’s habitual residence remain unaffected.

18. SEVERABILITY

If an individual provision of this license is wholly or partly invalid or unenforceable, the remaining provisions remain effective to the extent permitted by applicable law. Mandatory statutory provisions apply in place of the invalid or unenforceable provision.
