COLRSTUDIO BASIC LICENSE Version 1.0 – 1 September 2026

Copyright © 2026 Dennis Slotta Licensor: Dennis Slotta, Legatenstieg 15, 37603 Holzminden, Germany All rights reserved except for the rights expressly granted by this license.

This license governs access to and use of the ColrStudio Basic functionality supplied with the purchased product (“ColrStudio”). Rights in the font and any supplied font assets are governed by the separate font license included with the product.

The ColrStudio license and the font license are separate. A right granted under one license does not expand or replace the rights granted under the other.

Where the Licensed Product Font is supplied under the SIL Open Font License, that font remains governed exclusively by the SIL Open Font License. Nothing in this ColrStudio license modifies, replaces or restricts rights independently granted under the SIL Open Font License.

By accessing or using ColrStudio, the licensee agrees to this license.

1. LICENSEE AND LICENSE GRANT

The “licensee” is the natural person or legal entity that purchased the product. The licensee receives a perpetual, non-exclusive and non-transferable Commercial License to use the ColrStudio Basic functionality described below, subject to the revenue limit and restrictions of this license.

If the licensee is a natural person, that person may use ColrStudio on any devices owned or primarily used by that person, including for a sole proprietorship operated by that person.

If the licensee is a company or other legal entity, all owners, officers and employees of that legal entity may use the licensed ColrStudio functionality on devices used for the licensee’s business. Use must be for and on behalf of the licensee.

Trade names and brands owned and operated by the licensee are included. Parent companies, subsidiaries, sister companies and other legally independent entities are not covered, even where they belong to the same corporate group or share owners, management, staff or branding.

External agencies, freelancers, contractors and service providers are not employees and require their own license if they independently access or use the licensed ColrStudio functionality.

The license is not a subscription. No ColrStudio royalty or revenue share is payable for output permitted by this license.

2. REVENUE LIMIT AND REQUIRED UPGRADE

This Commercial License covers a licensee whose total worldwide gross business revenue does not exceed USD 250,000 in a financial year.

The revenue calculation includes revenue from all business activities of the licensee and all brands owned and operated by the licensee. It is not limited to revenue earned using ColrStudio or the supplied font. Revenue is calculated before business expenses, but excludes value added tax, sales tax, refunds and chargebacks.

Revenue of a legally independent parent company, subsidiary or sister company is not included in the calculation because that entity is not permitted to use this license and requires its own license.

For revenue received in another currency, the USD equivalent is determined using the European Central Bank reference rate or, where no such rate is available, a comparable official reference rate applicable when the threshold is exceeded.

If the licensee’s cumulative gross revenue exceeds USD 250,000 during a financial year, the licensee has 30 calendar days from the date the threshold is exceeded to obtain an Extended Commercial License from the licensor.

Use may continue during this 30-day upgrade period. If no required upgrade is obtained within that period, the licensee must stop further use of ColrStudio and further production, publication or commercial distribution of new output created with ColrStudio until the appropriate license has been obtained. Finished output lawfully delivered to customers before the end of the upgrade period remains unaffected.

3. PRODUCT-SPECIFIC FONT FUNCTIONALITY

The Basic functionality included with this product is technically bound to the font supplied as part of that product (“Licensed Product Font”). The font contains the product-specific ColrStudio entitlement, and this ColrStudio edition loads only that Licensed Product Font.

Other fonts are not loaded by this product-specific Basic edition. Fonts supplied with other ColrStudio products use their own included entitlements and feature sets.

This is a description of the supplied product functionality and not a contractual restriction on the licensee’s independent use of other fonts outside ColrStudio.

4. INCLUDED BASIC FUNCTIONALITY

The Basic license includes the following supported functionality for the Licensed Product Font:

- text composition and live preview; - supported static font designs supplied with the product; - layer editing; - individual layer color editing; - gradient editing and application; - supported layer and visual effects; - use of included ColrStudio presets; - SVG export; - PNG export; - supported warp effects, including arc and wave effects; - supported text animation and loop functions on supported tablet and desktop environments; and - animation export up to 720 pixels in width on supported tablet and desktop environments.

The 720-pixel limit applies to animation output. Static SVG and PNG exports remain subject to the export capabilities, technical limits and documentation applicable to the supplied ColrStudio version.

Loop and animation functions require a supported tablet or desktop environment. Smartphone loop and animation use is not currently supported.

5. FUNCTIONALITY NOT INCLUDED

The Basic license does not include:

- Batch Export; - Mockup Editor access; - animation export above 720 pixels in width; - Animated SVG export;

Features listed as not included are edition boundaries. Their absence is not a prohibition against editing permitted exported output in other software.

6. PERMITTED PERSONAL AND COMMERCIAL OUTPUT

The licensee may use ColrStudio Basic to create personal and commercial finished output with the Licensed Product Font, subject to both this license and the separate license governing that font.

Permitted output includes composed words, names, phrases, logos, lettering, graphics, signs, advertisements, social media content, websites, videos, animations, physical products, merchandise, plotter and cutting projects, client work, personalized products and other finished creative designs.

Output may be created manually or automatically where supported. It may be sold, distributed, published or delivered to clients where the output is permitted by the applicable font license.

This ColrStudio license grants no additional right to redistribute, embed, modify or sublicense the Licensed Product Font. Those rights are determined exclusively by the applicable font license.

7. NO STANDALONE CHARACTER PRODUCTS

ColrStudio may not be used to create, export, sell, license or redistribute a product whose primary purpose is to provide reusable individual letters, numbers, glyphs or characters.

Prohibited products include, regardless of file format:

- SVG, PNG, WebP, JPEG or other alphabet packs; - individual letter or number packs; - glyph and character collections; - clipart alphabets; - monogram or initial libraries; - downloadable character sets; - font substitutes assembled from individual exports; and - substantially similar reusable digital resource products.

This restriction applies whether characters are exported individually, grouped in one document, bundled in an archive, generated manually or produced through an automated process.

Finished composed designs remain permitted. Examples include a completed word, name, phrase, logo, sign, personalized design or decorative typographic artwork. The determining factor is whether the recipient receives a finished design or a reusable collection of individual characters.

This section governs only the licensed use of ColrStudio. It does not modify or restrict rights independently granted under the SIL Open Font License or other rights the licensee may hold in material used outside ColrStudio.

8. SOFTWARE, ACCESS AND INTERNAL RESOURCES

The licensee may make reasonable backup copies of locally supplied ColrStudio files solely for continuity and recovery of the licensed use.

The licensee may not:

- sell, rent, lease, sublicense, publish or redistribute ColrStudio; - provide ColrStudio access or copies to a person or legal entity not covered by this license; - share access credentials or activation information outside the licensed legal entity; - package ColrStudio with another product or service for use by an unlicensed person; - remove, bypass or manipulate license, entitlement, activation or feature controls; - present ColrStudio or substantial portions of it as software created or owned by the licensee; or - extract and redistribute ColrStudio components or internal resources as standalone or competing software or asset products.

Included presets, gradients, effects and related ColrStudio resources may be used to create personal and commercial finished output. They may not be extracted, repackaged, sold or redistributed as standalone preset packs, effect libraries, gradient packs, templates or substantially similar competing resource products.

Mandatory rights under applicable law, including rights that cannot lawfully be excluded concerning interoperability, security research or error correction, remain unaffected.

9. THIRD-PARTY AND USER-SUPPLIED MATERIAL

ColrStudio does not grant rights to fonts, images, SVG files, photographs, trademarks or other material supplied or imported by the licensee. The licensee is responsible for obtaining all rights necessary for their material and intended use.

The licensor is not responsible for errors already present in user-supplied or third-party source material.

10. SYSTEM REQUIREMENTS AND THIRD-PARTY SOFTWARE

ColrStudio is browser-based creative software. Its functionality and performance may depend on the device, operating system, browser, graphics hardware, available memory, local storage and third-party software used in the licensee’s workflow.

ColrStudio is tested only in the environments identified as supported in the applicable product description or documentation. Compatibility with every device, operating system, browser version, font renderer, graphics application, cutting or plotting application, printer, third-party program or future software version is not promised.

Support, import and rendering of SVG, PNG, animation and font technologies may differ between third-party products. The licensor does not control how third-party software implements, interprets, modifies, renders, prints or processes exported files.

The creation of a particular file format does not promise identical support in every third-party application. Compatibility with a specific third-party product is promised only where the applicable product description expressly identifies that product and the extent of support.

Express functionality and compatibility statements in the applicable product description remain unaffected.

11. PRODUCTION VERIFICATION

The licensee should verify exported files in the intended production workflow before commercial production, printing, cutting, engraving, publishing or mass distribution.

Where the licensee modifies or converts exported output in third-party software, the modified result should be checked again before production. This requirement does not limit liability or statutory remedies where a defect or damage is legally the responsibility of the licensor.

12. LOCAL DATA AND BACKUPS

ColrStudio may store settings, projects, fonts or other user data locally in the browser or on the licensee’s device.

Local browser data may be affected or deleted by browser settings, private browsing modes, storage cleanup, browser profile changes, device resets, security software or actions outside the control of ColrStudio.

The licensee is responsible for retaining backup copies of important source files, fonts, settings, projects and exported files. ColrStudio should not be used as the sole archival storage location for important data.

13. UPDATES, CHANGES AND FUTURE FEATURES

This license covers the Basic functionality included with the purchased product and the supplied product version.

Future optional features, higher editions, additional modules and major new product generations are not automatically included unless expressly stated. The licensor may voluntarily provide additional features or updates without creating an obligation to provide every future feature.

The licensor may make technically necessary or reasonable changes where the contractual functionality remains available and the change is reasonable for the licensee. Mandatory statutory obligations concerning updates, conformity and modification of digital products remain unaffected.

14. LICENSE VIOLATIONS AND TERMINATION

If the licensee materially breaches this license, the licensor may require the licensee to stop the breach and remedy it within a reasonable period. If the breach is not remedied within that period, the licensor may terminate the license to the extent permitted by applicable law.

After effective termination, the licensee must stop using ColrStudio and delete locally supplied ColrStudio copies and access information under their control. Rights in finished output lawfully created and distributed before termination remain unaffected unless mandatory law or a binding decision provides otherwise.

15. LIABILITY

The licensor is liable without limitation:

- in cases of intent or gross negligence; - for injury to life, body or health caused by an intentional or negligent breach of duty; - under mandatory product liability law; and - in all other cases in which liability cannot legally be limited.

In cases of ordinary negligence, the licensor is liable only for the breach of an essential contractual obligation. In such cases, liability is limited to damage that was reasonably foreseeable and typical for this type of contract.

An essential contractual obligation is an obligation whose fulfillment is necessary for the proper performance of the agreement and on whose fulfillment the licensee may reasonably rely.

Subject to the preceding provisions, the licensor is not responsible for damage caused solely by:

- unsupported hardware, operating systems, browsers or third-party software; - incomplete, differing or incorrect implementation of file or font formats by third-party software; - modification or conversion of exported files by third-party software; - errors in source material supplied by the licensee; - use outside the documented or expressly supported environment; - production use without reasonable verification of the exported result; or - deletion of local browser data or device storage outside the licensor’s control.

16. MANDATORY RIGHTS

Nothing in this license excludes, limits or replaces statutory rights, remedies, warranties or consumer-protection provisions that cannot legally be excluded or limited.

17. GOVERNING LAW

Unless mandatory law provides otherwise, this license is governed by the laws of the Federal Republic of Germany.

If the licensee is a consumer, mandatory consumer-protection provisions applicable at the consumer’s habitual residence remain unaffected.

18. SEVERABILITY

If an individual provision of this license is wholly or partly invalid or unenforceable, the remaining provisions remain effective to the extent permitted by applicable law. Mandatory statutory provisions apply in place of the invalid or unenforceable provision.
